What is the Owners’ Management Company (OMC)?

Kylemore Estate Properties Owners’ Management Company CLG (the OMC) is the legal entity established to own and manage the common areas of Kylemore Estate and to arrange their maintenance, repair and shared services. Each unit owner in the estate is automatically a member of the Company. 

What is the role of the Board?

The OMC is managed by a Board of Directors. The Board is responsible for overseeing the Company’s affairs, including the management and maintenance of the common areas, financial management, compliance with the Company’s legal obligations and supervision of the managing agent.

How are directors appointed?

Directors are elected by the members at a general meeting, usually the Annual General Meeting (AGM). The Board may also appoint a director to fill a casual vacancy or as an addition to the Board, in accordance with the Company’s Constitution.

The OMC Board of Directors consists of volunteer property owners who give their time and expertise to act in the best interests of all members of Kylemore Estate. Directors receive no remuneration for serving on the Board. Directors are elected by the members of the Company at the Annual General Meeting in accordance with the Company’s Constitution.

What is the difference between the Managing Agent and The Board?

The Board appoints a licensed managing agent, currently Aramark, to assist with the professional daily management of the estate.

The Board of Directors remains responsible for the governance and management of the Company and for making decisions within its authority. Its responsibilities include setting policy, overseeing the Company’s finances, and working with the managing agent to develop the annual budget and proposed service charge. These are then presented to the members at a general meeting for consideration in accordance with Irish law.

The managing agent carries out the daily responsibilities delegated to it under its contract and the Board’s instructions. These include preparing the initial draft of the annual budget and proposed service charge, administering the collection of service charges on behalf of the Company, arranging maintenance and repairs, managing contractors, and responding to routine enquiries from owners and residents.

In summary, the Board is responsible for the Company’s governance and for making decisions within its authority, while the managing agent carries out the daily work delegated to it.
